Terms and Conditions
Service Description
Niccolò Ruggieri provides a monthly subscription web development service. The service is delivered asynchronously. After payment, the client receives an onboarding link, provides access to the required tools, such as Slack, Linear and GitHub, and assigns work through issues or tasks. Communication is primarily asynchronous, with calls limited to what is strictly necessary.
Subscription Plans
- Monthly: €3,000 per month
- Quarterly: €7,800 per quarter
All prices may be subject to future changes.
Working Arrangements
Work is carried out Monday through Friday without fixed working hours. Saturdays and Sundays count as calendar days used by the subscription, even though no active work is performed on those days.
Payments
Payment is made in advance and on a recurring basis by bank transfer. The subscription renews automatically unless cancelled by the client. A reminder is sent three days before renewal. Failure to pay by the due date results in immediate suspension of the service. Late-payment interest may apply under Italian Legislative Decree No. 231/2002.
Niccolò Ruggieri may change the subscription price by giving at least 30 days' written notice before the next renewal. The client may cancel without penalty within that period. The current price may be locked for additional months when agreed in writing by both parties.
Pause and Reactivation
The client may pause the subscription at any time. Remaining days are frozen and may be used by reactivating within 60 days. After 60 days, unused days expire.
Cancellation
The client may cancel at any time by email or through the subscription platform. Cancellation takes effect at the end of the paid period, with no partial refund for unused days except under the refund policy. If Niccolò Ruggieri ends the collaboration, at least seven days' notice is given before renewal.
Refund Policy
Monthly subscribers may try the service for one full week. If dissatisfied with the value received, they may request a full refund provided all delivered materials are returned. No partial refund is available after the first week.
Changes and Additional Work
These terms replace all previous agreements between the parties. Work not expressly included in the selected plan must be agreed in writing and may involve additional costs.
Intellectual Property
All delivered materials become the client's property once the relevant period has been paid in full. Until then, Niccolò Ruggieri retains the rights to the work. Completed work may be used for promotional purposes, including portfolios and case studies, unless the client requests otherwise in writing.
Limitation of Liability
The service is an obligation of means, not of result. Specific business or commercial outcomes are not guaranteed. Niccolò Ruggieri is not liable for direct or indirect damages arising from use of the service. Liability may never exceed the amount paid for the current subscription.
Governing Law and Jurisdiction
These terms are governed by Italian law. The Court of Teramo has exclusive jurisdiction over any dispute.

Changes to These Terms
Niccolò Ruggieri may update these terms at any time. Changes will be communicated by email or through a platform notification.
